Terms of Use

I hereby confirm that I have read, understood, and agree to the following terms of use for the Nobel Biocare Speaker Portal (“Terms of Use”) and that I will comply with the Terms of Use.

 

  1. Nobel Biocare Services AG (“Nobel Biocare”) may, at its sole discretion, grant you access to the Nobel Biocare Speaker Portal (“Speaker Portal”) by providing you with your personal login data, which you can use to access the Speaker Portal website (http://speakerportal.nobelbiocare.com). You agree to keep your login data strictly confidential and not to share or otherwise disclose it to other persons or legal entities. You will inform Nobel Biocare immediately if you become aware of any misuse of your login data.

 

  1. Through the Speaker Portal, Nobel Biocare will make available to you certain presentations, documents, files, or other data (“Materials”). All Materials are owned and controlled by Nobel Biocare. The Materials are protected by Swiss and international laws and other intellectual property rights. Nobel Biocare may, at its sole discretion and at any time, update, modify, delete, or otherwise alter Materials without notice.

 

  1. Nobel Biocare grants you the right to download and use the Materials exclusively for training- & educational- and event purposes related to Nobel Biocare. Any other use requires the prior written approval of Nobel Biocare, or, in case you are a speaker of a distributor of Nobel Biocare, of your distributor. To request Nobel Biocare’s (or your distributor’s) approval, you must submit to Nobel Biocare (or your distributor) a written outline of the event and purpose you intend the Materials to be used for. Nobel Biocare (or your distributor) will then, at its sole discretion, decide whether you may use the Materials for such event and purpose. If Nobel Biocare (or your distributor) permits the use of the Materials, you agree to document such use and to submit the documentation to Nobel Biocare (or your distributor). In case you submit the documentation to your distributor, you acknowledge that the distributor may share the documentation with Nobel Biocare.

 

  1. You acknowledge that all Materials are protected by copyrights and you agree
  1.  not to remove, modify, or otherwise alter copyright marks on Materials, and
  2. to name the author (if indicated) of any Material that you use (e.g. “copyright of” followed by the name of the author) and/or name “courtesy of” followed by the name of the author); and
  3. to use the Speaker Portal information supplied by Nobel Biocare solely for the purpose of providing the services stipulated in the scope agreed by Nobel Biocare (or your distributor).

 

  1. You acknowledge that the access to the Speaker Portal and the right to use the Materials is limited to you personally and you will not make available the Materials or copies thereof to other persons or legal entities (except for handouts of your presentation). No ownership or copyright in any Material shall pass to you by granting you the right to use contained in these Terms of Use. Except as expressly stated in the Terms of Use, Nobel Biocare grants you no right or license, express or implied, to the Materials.

 

  1. You acknowledge that Nobel may, at any time and at its sole discretion, terminate your access to the Nobel Biocare Speaker Portal.

 

  1. To the extent permitted under applicable law, Nobel Biocare excludes any representation or warranty with respect to the Materials, in particular, without limitation, Nobel Biocare makes no representations or warranties, express or implied, with regard to accuracy, correctness, reliability, fitness for a particular purpose, and non-infringement. Nobel Biocare does not warrant that the Materials are free from errors, interruptions, omissions, defects, viruses, or other damaging elements, or that Nobel Biocare will correct any errors, omissions, or defects.

 

  1. The Terms of Use contain the entire understanding of the parties relating to the use of Materials and supersedes any prior written or oral agreement or understandings between the parties with respect to the Material. The invalidity or unenforceability of any provision of the Terms of Use will not affect the validity or enforceability of any other provision of the Terms of Use. The invalid provision shall be replaced by a valid provision that comes as close as possible to the intended objective and commercial purpose of the invalid provision. Nobel Biocare reserves the right to modify or terminate the Terms of Use at any time without notice.

 

  1. The Terms of Use are governed by Swiss substantive law to the exclusion of the international conflict of laws provisions thereof and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
